Brief description: The ToR seeks to engage a consultant firm who will develop the most beneficial energy export scenarios, VRE and green hydrogen export/trading Azerbaijan-Georgia-Romania-Hungary (and other target markets in Europe) studies from the technical, economic and regulatory perspective.

The consultancy team should include a mix of international experience in electricity generation and transmission planning combined with local knowledge of the Azerbaijan, Georgia, Romania and Hungary contexts and with European energy regulatory framework. The main counterparts for this activity are the Ministries in charge of Energy (MoE), generator companies and TSOs of the involved countries, respectively.

The Consultant is expected to deliver the tasks outlined in this TOR and contribute to the strategic energy network expansion with reference to exchanges between Azerbaijan, Georgia and Europe. An outline of the tasks is given below, including the required outputs. A summary of the tasks, including the required deliverables, is provided in Section 5 of the SMT.

Participation fee: 2500 (two thousand five hundred) AZN. The participation fee is not refundable under any circumstances.

After the participation fee is transferred to the account specified in the bank details of the purchasing organization, it is applied to the purchasing organization together with the payment receipt to obtain the set of main terms of the tender.

Hand over times of the works 80 (eighty) weeks:  Must be fully prepared and delivered no later than 80 (eighty) weeks after the signing of the contract. The Implementation Schedule is given in Section 5 of the Main Terms Of The Tender, (page 36).

The currency in which the bid price must be calculated and expressed:

- Legal and individual persons of the Republic of Azerbaijan must indicate the prices in manats in tender bids;

- When the tender bids of foreign legal and individual persons are expressed in freely convertible currency, the exchange rate determined by the Central Bank of the Republic of Azerbaijan on the last day of the submission of tender offers is used as the basis.

The following criteria will be preferred in the evaluation of bids:

1. The lowest price offer that meets the requirements of the SMT - 70 points

  1. Evaluation of the performance period of works and services - 20 points

3. Assessment according to the terms of payment - 10 points 

Bidders must submit the following documents to participate in the tender:

1. Application to participate in the tender (on the Bidder's official letterhead);

2. Bank document on payment of tender participation fee (confirming document must be submitted);

3. A certificate from the relevant tax authority on the absence of overdue obligations regarding taxes and other mandatory payments in the Republic of Azerbaijan, as well as non-fulfillment of the taxpayer's duties established by the Tax Code of the Republic of Azerbaijan during the last year (not taking into account the period of suspension of activity) (Local companies and representative offices of foreign companies registered in the Republic of Azerbaijan must submit a reference to the date after the date of the tender announcement by the relevant tax authority in the Republic of Azerbaijan, and foreign companies in the country where they are registered. The original of the certificate must be on the official letterhead of the relevant authority or, when the reference is obtained in electronic form, a notarized copy of the reference must be submitted);

4. A certificate stating that individuals, as well as their managers and employees, have not been convicted of a crime during the 5 years prior to the initiation of procurement procedures, or their professional activities have not been prohibited by a court of law due to their professional activities or misrepresenting their qualifications for concluding a procurement contract. (A certificate from the relevant authority on the absence of convictions dated after the date of the tender announcement must be submitted. The original of the r certificate must be on the official letterhead of the relevant authority or, when the reference is obtained in electronic form, a notarized copy of the reference must be submitted);

5. Information about the ability to use one's own property freely and without restrictions, as well as the ability to pay, not being declared bankrupt, not having his property seized, not having a pledge aimed at payment, not being a person whose commercial activity has been suspended by a court decision (certificate received from the relevant authority dated after the date of the tender announcement The original of the certificate must be on the official letterhead of the relevant authority or, when the reference is obtained in electronic form, a notarized copy of the reference must be submitted);

6. A copy of the financial report (profit tax declaration) approved by the tax authorities about the applicant's activity in the last year (the original approval approved by the tax authority / the official original approval submitted in a foreign language should be submitted in Azerbaijani (notarially).). It should reflect information for the last financial period);

7. A bank statement on the applicant's financial situation in the last year (if one has been operating for a shorter period of time, during the entire period of operation) (The statement is not to be submitted by the bank. The original or a notarized copy of the document must be submitted. The registration date must be within the current quarter);

8. The bidder's full name, legal status, charter, country of registration (excerpt from the state register of the plaintiff's commercial entity (legal entities), tax registration document (TIN), charter (with changes, if any) must be notarized and submitted).

9. The bidder's bank details (bank account, legal and actual address must be indicated on the official letterhead and confirmed with the claimant's or bank's signature and seal);

Note: International bidders (non-residents) must submit a notarized, apostilled or legalized copy of the above-required documents obtained from the relevant authorities of the country where they are established and operate.

Qualification requirements:

10. The bidder's professionalism, experience, technical and financial capabilities, manpower, management competence, reliability in the relevant field to ensure the execution of the purchase agreement (must be drawn up by the bidder):

- Must have at least 10 years of experience in the field of energy (relevant supporting documents must be submitted);

- Must have work experience in 2 (two) countries involved in the project;

- Must have at least one completed study related to the optimization of both gas and electricity infrastructure at the regional level as a consortium leader or sole consultant;

- must have at least 1 completed feasibility study for the laying of an interconnected submarine HVDC cable;

- Must have completed at least a nationwide study on hydrogen infrastructure development;

- Relevant certificates confirming the education and professionalism of the staff in the relevant field regarding the qualification, experience and number of employees (page 43) required to perform the bidder's work with quality and in the required time based on the methodology defined in the Terms of Reference and work experience related to participation (in section 7 "Information on bidder's qualifications" of section 8 "Standard forms" of the SMT) in other analogous works (documents should be submitted in the form and manner specified in section 7 of the SMT);

- Information on qualification indicators should be submitted in the form and manner indicated in section 7 "Information on bidder's qualification indicators" of section 8 "Standard forms" of the SMT.

11. Tender bid (must be valid for at least 30 banking days after the opening of tender envelopes. Tender bid must be prepared in English and Azerbaijani languages (tender bids in English language must be translated into Azerbaijani);

12. Bank guarantee in the amount of 1% (one percent) of the total price of the tender bid (the validity period of the guarantee must be more than 30 banking days from the validity period of the tender offer and must be provided by the bank).

Bidders must submit the documents required for participation in the tender (except for the tender bid and bank guarantee) by 15:00 Baku time on November 23, 2023, and the tender bid and bank guarantee of the bidders with the suitable qualifications should be submitted to the Procuring organization in sealed and signed double envelopes by 15:00 Baku time (1 (one) banking day before the opening of tender bids) by December 01, 2023.

Bidders' bids will be presented and opened on December 04, 2023 at 15:00 Baku time, Baku city, at U. Hajibeyli Street 84, Government House, door 5.

Documents must be drawn up in English and Azerbaijani, in 2 copies (original and copy) (tender bids in English language must be translated into Azerbaijani). The tender procedure will be conducted in accordance with the Law of the Republic of Azerbaijan "On Public Procurement". Bidders must submit the specified documents (except the tender offer and bank guarantee) in accordance with the specified requirements to participate in the competition. The bid and bank guarantee must be submitted in a sealed double envelope. Envelopes submitted after this time will be returned unopened. Bidders' authorized representatives may be present during the opening of bids.
